By downloading, installing, accessing, or using Keepic ("the App"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the App. We may update these Terms at any time; your continued use of the App after any update constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.
Keepic is an AI-powered photo management application that helps you organise, search, and review your photo library. Core features include AI-based photo indexing, semantic search, intelligent grouping, and cleanup suggestions. The App and its AI features are provided on an "as available" basis and may be modified, limited, or discontinued at any time. AI analysis results are probabilistic estimates only and may contain errors, omissions, or inaccuracies.
You must be at least 18 years of age to use the App. By using the App you represent and warrant that you meet this age requirement. If you are using the App in China, you are additionally required to complete real-name identity verification as mandated by applicable Chinese regulations.
You agree to use the App only for lawful, personal purposes and in accordance with these Terms. You must not: (a) use the App to process, store, or share photos that are illegal, obscene, or that depict child sexual abuse material (CSAM) — any such content will be reported to law enforcement; (b) use the App to infringe the intellectual property, privacy, or other rights of any third party; (c) reverse-engineer, decompile, or attempt to extract the source code of the App; (d) use automated scripts, bots, or tools to access the App in an unintended manner; (e) attempt to gain unauthorised access to our systems or other users' data; or (f) resell, sublicense, or commercialise the App or its AI services without our prior written consent.
YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR ALL DECISIONS REGARDING THE REVIEW, ORGANISATION, AND DELETION OF YOUR PHOTOS. The App's AI features provide suggestions only; they do not take any action on your photos without your explicit confirmation. Before using any cleanup or deletion feature, you must maintain independent backups of all photos you wish to preserve. We expressly disclaim all responsibility for any photo loss, whether caused by your reliance on AI suggestions, accidental deletion, device failure, data corruption, or any other cause. We strongly recommend enabling your device's native backup solution (e.g., iCloud, Google Photos) before using the App.
All intellectual property rights in the App — including software, design, trademarks, and AI models — are owned by or licensed to Keepic. Your photos remain your property at all times. You grant Keepic a limited, non-exclusive, revocable, royalty-free licence to process your photos solely to provide the AI features you request. This licence is automatically revoked when you delete the relevant data or the App.
Your use of the App is governed by our Privacy Policy, incorporated into these Terms by reference. We process photo data on third-party AI infrastructure (Alibaba Cloud / DashScope). By using the AI features, you acknowledge that your photo data will be transmitted to and processed by these third-party providers subject to their applicable terms and policies.
We do not guarantee that the App or any specific feature will be available at all times or that it will be free from interruptions, errors, or security vulnerabilities. We reserve the right to modify, suspend, or discontinue any part of the App — including AI model capabilities — at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App or any of its features.
The App's cloud AI features rely on third-party AI providers (currently Alibaba Cloud DashScope). These providers have their own terms of service and privacy policies that govern their processing of your data. We are not responsible for the acts or omissions of these providers, including any changes to their models, accuracy, availability, or data-handling practices. We make no representations about the ongoing accuracy, reliability, or availability of third-party AI services.
THE APP AND ALL CONTENT, FEATURES, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. WE MAKE NO WARRANTY THAT: (A) THE APP WILL MEET YOUR REQUIREMENTS; (B) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) AI ANALYSIS RESULTS WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR (D) ANY ERRORS OR DEFECTS WILL BE CORRECTED. AI ANALYSIS RESULTS ARE APPROXIMATIONS AND MUST NOT BE RELIED UPON AS THE SOLE BASIS FOR ANY DECISION, INCLUDING DELETING PHOTOS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) KEEPIC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PHOTOS, DATA, REVENUE, PROFITS, GOODWILL, OR BUSINESS OPPORTUNITY — ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. (B) OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNT YOU ACTUALLY PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) USD 10 (TEN US DOLLARS). (C) THE ABOVE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND SHALL SURVIVE EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
You agree to indemnify, defend, and hold harmless Keepic and its affiliates, officers, directors, employees, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you process through the App.
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. Any dispute, claim, or controversy arising from or relating to these Terms or your use of the App shall first be submitted to binding individual arbitration. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. If arbitration is found unenforceable in your jurisdiction, disputes shall be resolved exclusively in the courts of competent jurisdiction applicable to Keepic's place of operation.
These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. For users in mainland China, Chinese law applies and disputes are subject to the jurisdiction of the competent People's Court.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Keepic regarding the App and supersede all prior agreements. Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.
These Terms are provided in English, which is the sole authoritative and legally binding version. Any translation into another language is provided for your convenience only. In the event of any conflict, ambiguity, or discrepancy between the English version and any translation, the English version shall govern and prevail.
